The idea in plain language
Asset tokenization is the process of issuing or representing an asset, claim or right as a digital token, commonly on a distributed ledger. The token can be transferred and recorded according to the rules of the network and the legal structure established by the issuer.
The asset might already exist outside the network — a bond, a fund interest, a commodity or a contractual claim. In other cases, the token itself is the original instrument: it is created, issued and maintained digitally from the beginning.
The Central Principle
Tokenization has more than one meaning
In information security and payments, tokenization can mean replacing sensitive data — such as a card number — with a substitute value. This lesson uses the financial-markets meaning: representing an asset or claim as a digital token. The two concepts share a name but solve different problems.
Two broad tokenization models

What can be tokenized?
Many forms of value or contractual rights can potentially be represented digitally, subject to the relevant law and a workable operating model:
- Financial instruments, including bonds, fund interests and certain forms of equity.
- Money and payment claims, such as regulated tokenized deposits or settlement assets.
- Interests in property, infrastructure or private-market vehicles.
- Commodities and warehouse claims, provided reserves and redemption arrangements are dependable.
- Receivables, invoices, loyalty points, environmental instruments or intellectual-property rights.
Tokenization does not remove the need to determine whether an instrument is a security, deposit, commodity claim, contract right or another legal category. The same technology can support very different economic arrangements.
How tokenization works
Define the asset and the rights.
The issuer identifies what is being represented and specifies the holder's rights: ownership, income, redemption, voting, access or another benefit.
Establish the legal structure.
Contracts, offering documents, registries, custodial arrangements and applicable law connect the digital token to enforceable rights.
Choose the network and controls.
The issuer selects a public, permissioned or hybrid system and determines who can issue, hold, transfer, freeze or redeem tokens.
Create and distribute the tokens.
Tokens are issued — often called minted — and allocated to eligible holders after any required identity and compliance checks.
Maintain the asset through its lifecycle.
Transfers, payments, corporate actions, restrictions and records must remain accurate. Smart contracts may automate defined tasks, but governance and oversight remain necessary.
Redeem, cancel or retire the tokens.
If the structure permits redemption, the holder returns or destroys the token and receives the promised asset, cash or other entitlement.
What does the token holder actually own?
This is the most important due-diligence question. Depending on the structure, a token may provide direct legal ownership, a beneficial interest, a debt claim against an issuer, a contractual right to redemption, access to a service — or little more than a technical entry with weak enforceability.
A credible answer requires more than examining the blockchain. Review the governing documents, issuer, custodian or trustee, applicable jurisdiction, transfer restrictions, priority in insolvency, reserve arrangements and redemption process. If the token refers to an off-chain asset, determine who controls that asset and how the on-chain record is reconciled with the legal record.
Accounting Perspective
Why tokenize an asset?
A shared record may reduce reconciliation. Participants can work from a common state rather than repeatedly comparing separate ledgers.
Programmability may automate parts of the lifecycle. Rules can support interest or coupon payments, transfer restrictions, collateral movements and other defined events.
Settlement may be coordinated. If the asset and payment legs are appropriately connected, delivery and payment can occur together, reducing some forms of settlement exposure.
Fractional units may lower minimum transaction sizes. A large asset can be divided into smaller digital interests where the legal and commercial structure permits it.
Distribution and operating hours may broaden. Digital systems may support new channels or longer availability, subject to investor eligibility, market rules, cash settlement and service-provider operations.
Important Distinction
Dividing an asset into smaller units can make each unit more affordable. It does not guarantee that buyers and sellers will appear, that prices will be reliable or that a holder can exit quickly. Liquidity requires market participants, trusted information, trading venues, settlement arrangements and confidence in the asset and issuer.
The OECD has noted that limited liquidity, insufficient scale, interoperability challenges, legal uncertainty and the absence of standardization can all restrain adoption. A technically transferable token can therefore remain commercially illiquid.
Evidence from regulated financial markets
The European Central Bank describes tokenization as issuing or representing assets as digital tokens using DLT and is pursuing work to connect DLT-based market activity with central-bank-money settlement.
During the Eurosystem's 2024 exploratory work, 64 participants conducted more than 50 trials and experiments involving DLT-based wholesale transactions and central-bank-money settlement.
The European Investment Bank priced two €100 million digital bonds in November 2024 in connection with the Eurosystem programme. The second was described as the EIB's sixth digital bond.
The BIS has examined tokenized financial arrangements that combine assets and money on programmable platforms while retaining the institutional and legal foundations of the monetary system.
Balanced Interpretation
Risks and practical challenges
Legal mismatch: The ledger may show a token transfer without creating an enforceable transfer of the underlying asset.
Issuer and counterparty risk: A tokenized claim may still depend on an issuer, custodian, trustee, reserve manager or service provider performing its obligations.
Smart-contract and cybersecurity risk: Defects, compromised keys and weak access controls can cause loss or disruption.
Data and valuation risk: The network cannot independently verify every off-chain fact, reserve, appraisal or event.
Fragmentation: Assets and cash may sit on incompatible networks, creating new bridges, reconciliation tasks or liquidity silos.
Operational dependency: Redemption, identity checks, corporate actions and customer support often require people and systems outside the blockchain.
Regulatory uncertainty: Rules governing securities, custody, disclosure, privacy, taxes and financial crime may apply differently across jurisdictions.

What exactly does one token represent?
Which documents establish the holder's legal rights?
Who issued the token, and who holds or administers the underlying asset?
Is the token digitally native, or must an off-chain record remain synchronized?
How are ownership, income, voting, redemption and insolvency handled?
Who can mint, burn, freeze, reverse or restrict a transfer?
What network, wallet, custodian and cybersecurity risks exist?
Where can the token be traded, and is there meaningful liquidity?
What fees, taxes, accounting treatments and regulatory obligations apply?
